<div> <h1>Affiliate Program Terms & Conditions</h1> <h2>1. Definitions</h2> <p><strong>Affiliate: </strong>Individuals or companies accepted into the BetGoat Affiliate Program.</p> <p><strong>Affiliate Account: </strong>Dashboard for tracking performance, accessing marketing materials, viewing financial reports, and managing payments.</p> <p><strong>Affiliate Program: </strong>BetGoat's referral program, governed by these terms.</p> <p><strong>Affiliate Website: </strong>Sites/layouts owned by the Affiliate that refer traffic to BetGoat.</p> <p><strong>Agreement: </strong>Contract between BetGoat and Affiliate, including these Terms & Conditions and Annex A. </p> <p><strong>Company: </strong>BetGoat (registered as Cyclone Tech Solution Pte. Ltd.).</p> <p><strong>Content: </strong>Marketing materials provided by BetGoat (links, banners, creatives).</p> <p><strong>FTD (First-Time Depositor): </strong>A new player who registers and deposits via the Affiliate link.</p> <p><strong>Net Gaming Revenue (NGR): </strong>Monthly gross revenue minus processing fees, bonuses, taxes, and chargebacks.</p> <p><strong>Real-Money Player: </strong>A new user who registers, deposits minimum amount, and places a real-money bet. </p> <p><strong>Master Affiliate: </strong>Affiliate authorized to recruit sub-affiliates and earn override commissions. </p> <p><strong>Sub-Affiliate: </strong>Affiliate referred by a Master Affiliate via a tracking link.</p> <p><strong>Tracking Link: </strong>Unique URL generated for the Affiliate to track new customers.</p> <p><strong>Platform(s): </strong>BetGoat's brands and websites (casino, sportsbook, live casino, etc.).</p> <p><strong>Player Account: </strong>Betting account used by the Affiliate to verify compliance.</p> <p><strong>Privacy Policy: </strong>Applicable data privacy policies for the platform(s).</p> <h2>2. Objective & Scope</h2> <ul> <li>2.1 Affiliates operate websites or channels and refer prospective players to BetGoat.</li> <li>2.2 Affiliates earn commissions per Annex A, based on traffic quality and revenue generated.</li> <li>2.3 "NGR" may be redefined for new product lines without prior notification.</li> </ul> <h2>3. Qualification</h2> <p>3.1 By joining, Affiliates warrant that:</p> <ul> <li>a) They are of legal age and legally capable.</li> <li>b) They hold all necessary rights, licenses, and permissions.</li> <li>c) They will abide by all applicable laws and BetGoat policies.</li> <li>d) They understand and agree to these Terms & Conditions.</li> </ul> <h2>4. BetGoat Obligations</h2> <ul> <li>4.1 Provide tracking links, marketing content, and reporting tools.</li> <li>4.2 Calculate NGR, track earnings, and update Affiliate dashboard.</li> <li>4.3 Pay commissions per Annex A schedules.</li> <li>4.4 Reserve the right to suspend affiliate accounts or withhold commission during investigations or suspected policy violations.</li> </ul> <h2>5. Affiliate Obligations</h2> <ul> <li>5.1 Promote BetGoat professionally and comply with BetGoat guidelines and legal requirements.</li> <li>5.2 Use only approved tracking links and creatives.</li> <li>5.3 Ensure marketing content is legal, non-deceptive, and nowhere misleading.</li> <li>5.4 Avoid targeting minors or restricted jurisdictions.</li> <li>5.5 Prohibit fraudulent traffic generation (e.g., self-deposits, spam, SEO manipulation).</li> <li>5.6 Avoid causing brand confusion-do not use BetGoat IP without written consent.</li> <li>5.7 Do not bid on BetGoat trademarks in PPC campaigns unless explicitly authorized.</li> </ul> <h2>6. Dormancy</h2> <ul> <li>6.1 Affiliates with zero FTDs for 6 consecutive months become dormant.</li> <li>6.2 Dormant Affiliates earn a flat 5% revenue share until reactivated.</li> <li>6.3 Generating at least one FTD reactivates full commission privileges.</li> </ul> <h2>7. Sub-Affiliate Structure</h2> <ul> <li>7.1 Master Affiliates may recruit Sub-Affiliates with BetGoat approval.</li> <li>7.2 A 5% override commission applies to Sub-Affiliate earnings, per Annex A.</li> <li>7.3 Negative carry-forward losses by Sub-Affiliates also apply to Master Affiliates.</li> <li>7.4 Misconduct by Sub-Affiliates may lead to withholding by BetGoat.</li> <li>7.5 Master Affiliates are responsible for Sub-Affiliate compliance and conduct.</li> <li>7.6 BetGoat is not responsible for Master/Sub-Affiliate relationships or disputes.</li> </ul> <h2>8. Payment Terms</h2> <ul> <li>8.1 Commissions are paid monthly based on NGR from real-money players.</li> <li>8.2 Payment threshold: Minimum 100 USDT per month. Balances roll over if under threshold.</li> <li>8.3 Payments issued by the 8th working day of each month.</li> <li>8.4 Negative balances carry over until offset.</li> <li>8.5 Payments are final upon acceptance; disputes must be made within 7 days.</li> <li>8.6 BetGoat may withhold payments for up to 60 days during investigations.</li> <li>8.7 No commission is due on illegal or non-compliant traffic.</li> <li>8.8 Affiliates must reimburse BetGoat for commissions earned through fraud.</li> <li>8.9 After termination, only earned & unpaid commissions are payable (subject to investigation).</li> <li>8.10 Commission model changes (e.g. CPA offer) replace previous agreement terms.</li> <li>8.11 Affiliates are responsible for all tax obligations related to earnings.</li> </ul> <h2>9. Termination</h2> <ul> <li>9.1 Either party may terminate with 30 days' written notice.</li> <li>9.2 Upon termination: <ul> <li>a) Remove all references to BetGoat.</li> <li>b) Cease use of BetGoat IP.</li> <li>c) Pending, verified commissions are paid after review.</li> <li>d) Immediate termination without notice if the Affiliate breaches policy.</li> <li>e) Return or delete confidential materials.</li> <li>f) Survival of confidentiality obligations and liability for pre-termination breaches.</li> </ul> </li> </ul> <h2>10. Warranties & Liability</h2> <ul> <li>10.1 Services are provided "as is." BetGoat disclaims all implied warranties.</li> <li>10.2 BetGoat is not liable for internet-related disruptions or indirect damages.</li> </ul> <h2>11. Indemnity</h2> <ul> <li>11.1 The Affiliate indemnifies BetGoat and affiliates from all losses related to: <ul> <li>a) Breach of agreement terms.</li> <li>b) Misuse of marketing materials.</li> <li>c) Unauthorized activities on the Affiliate's site.</li> <li>d) IP violations or defamatory content.</li> </ul> </li> <li>11.2 BetGoat may participate in defense at its expense.</li> </ul> <h2>12. BetGoat's Rights</h2> <ul> <li>12.1 BetGoat may refuse or close any player or affiliate account to comply with policy or law.</li> <li>12.2 Breaches by Affiliates may lead to account suspension or closure.</li> </ul> <h2>13. Law and Jurisdiction</h2> <ul> <li>13.1 This Agreement is governed by the Government of the Autonomous Island of Anjouan, Union of Comoros.</li> <li>13.2 All disputes fall under the jurisdiction of the Government of the Autonomous Island of Anjouan, Union of Comoros courts.</li> </ul> <h2>14. Assignment</h2> <ul> <li>14.1 Affiliates may not transfer their Agreement without BetGoat's written consent.</li> <li>14.2 BetGoat may transfer at its discretion.</li> <li>14.3 Sale of affiliate business requires 30-day notice and preliminary BetGoat approval.</li> </ul> <h2>15. No Waiver</h2> <p>15.1 Failure to enforce a term does not waive BetGoat's right to enforce it later.</p> <h2>16. Force Majeure</h2> <p>16.1 Neither party is liable for delays beyond their control (e.g. natural disasters, strikes). If lasting >30 days, either party may terminate.</p> <h2>17. Relationship</h2> <p>17.1 Affiliates are independent contractors, with no authority to bind BetGoat.</p> <h2>18. Severability</h2> <p>18.1 Invalid provisions do not invalidate the whole Agreement.</p> <h2>19. Confidentiality</h2> <p>19.1 All BetGoat business, financial, and player data is confidential and must not be disclosed or used beyond this Agreement. Obligations survive termination.</p> <h2>20. Amendments</h2> <p>20.1 BetGoat may amend these terms at any time. Affiliates are notified via platform updates. The English-language version prevails.</p> <h2>21. Intellectual Property</h2> <p>21.1 Affiliates gain no IP rights in BetGoat's trademarks or materials. Unauthorized use or registration is prohibited.</p> </div>
